Bylaws of Casey's Safety Nest
Section1.....The name of the
organization shall be Casey's Safety Nest or Casey's Nest.
Section2.....The Casey's Safety Nest is organized exclusively for
charitable and educational purposes, more specifically for the interest
of the health and safety of avians.
ARTICLE II - Membership
Section 1..... Membership shall consist solely of the members of
the board of directors.
ARTICLE III - Annual Meeting.
Section 1....Annual meeting.... The date of the annual meeting
shall be set by the Board of Directors who shall also set the time and
place.
Section 2 - Special Meetings. Special meetings may be called by
the Board of Directors.
Section 3 - Notice. Notice of each meeting shall be given to
each member no less than 5 days prior to the meeting date.
ARTICLE IV... Board of Directors
Section 1 - Board role, size and compensation. The board is responsible
for overall policy and direction of Casey's Nest and delegates
responsibility of the every day operations. The board shall have up to
four members and not fewer than three members. The board receives no
compensation other than reasonable expenses.
Section 1 - Meetings. The board shall meet at least once every
six months, at an agreed time and place.
Section 2 - Notice. An official meeting requires that all
members be notified 5 days prior to set time of meeting.
Section 3 - Officers and Duties. There shall be three officers
of the board and they shall consist of Chair, Vice Chair, and Secy/treasurer.
The Chair shall convene each meeting and preside over the meeting or
delegate another member to do so in the following order, Vice Chair,
Secy/treasurer.
The Vice Chair shall preside over special meetings and set in for the
Chair if the Chair cannot attend.
The Secy/treasurer shall keep the minutes of each meeting and record any
monies acquired. The secy/treasurer will make a report at each meeting.
ARTICLE V - COMMITTEES
Section 1 - Committees may be formed by the Board of Directors as
needed.
ARTICLE VI - AMENDMENTS
Section 1 - These Bylaws may be amended by two thirds of the
Board.
